BANKING AND FINANCE (FINANCIAL REGULATION, NPL PORTFOLIO SERVICES, REPRESENTATION IN COURT PROCEEDINGS)
The Managing Partner of our Law Firm Mr. Dušan Bulatović, has gained significant experience in Banking & Finance area since, prior to becoming attorney at law, he was at leading legal positions in Hypo Alpe-Adria Bank a.d. Belgrade (now Addiko Bank a.d. Belgrade) for period of six years. Before joining the legal team of Hypo Alpe-Adria Bank a.d. Belgrade (now Addiko Bank a.d. Belgrade), Mr. Dušan Bulatović was judge assistant at First Municipal Court in Belgrade and Appeal Court in Belgrade for period of six years where he gained extensive and significant court practice. Mr. Dušan Bulatović is also tax representative of foreign banks in Republic of Serbia.
The other partner, Ms. Sanja Ćetković, during her carrier of attorney at law has gained significant experience in consulting and representation of both international and domestic banks.
In addition, all associates of Law Firm were involved in representation of international and domestic banks during their carrier.
All members of our Law Firm are able to provide professional assistance consisting of consultancy services such as drafting of legal opinions, contracts and other documents, representation of banks before National Bank of Serbia and other State bodies.
One of the major segments of Law Firm's activities in representation of banks before courts of Republic of Serbia of general and special competence in active and passive litigation procedures. The Law Firm completed successfully (in favour of bank(s)) large number of litigation procedures as well as active and passive ones.
Our Law Firm is also specialized in the area of non-performing loans in all its aspects. Namely, the Law Firm is regularly engaged in execution, litigation and bankruptcy procedures of behalf of banks and companies with the purpose of settling of Clients' due claims in proficient and cost-effective manner.
Beside participation in mentioned procedures, the Law Firm is regularly engaged to compose legal analysis about court cases such as expediency of conducting of procedures, manner to complete procedures in efficient and low-cost method.
The new legal area in which the Law Firm is also specialized is ceding of corporate and SME loans to companies and all potential legal issues which may arise from ceding of loans such as continuation of court procedure on behalf of claim receiver, registration of claim reciever before the competent pledge registries, drafting of legal analyses about completion of procedures in efficient and low-cost method.
Our legal team is also specialized in area of non-performing loans on behalf of international Clients related to non-performing cross-border loans and legal matter associated with cross-border loans.
The members of our legal team have also solid knowledge of local security packages, including sovereign guarantees, and issues such foreign exchange restrictions. In addition to having a commercial approach, our legal team has the technical capability to provide comprehensive advice on all types of lending and project finance matters.
CORPORATE AND COMMERCIAL LAW
The firm provides legal advice to private and public companies, domestic and international financial institutions in relation to general corporate and commercial matters, including the incorporation and management of companies and joint ventures. We advise our clients on various general business law matters, including counselling on a range of general securities law issues and the organisation and governance of corporations. We can aid our clients in structuring and forming new companies, partnerships, contractual and institutional joint ventures, limited liability companies and other entities.
The members of the Law firm have gained a relevant experience in merger, demerger and acquisition transactions, take-over bids as well as restructuring and reorganisation of companies, also by means of share transfer, or sale of going concerns. The firm also offers assistance in relation to negotiation and drafting of all relevant documentation, including shareholders' agreements and stock options, with an approach consisting in the analysis of legal issues as part of a larger context that includes strategic and commercial aspects. The law firm gives special attention to the application of specific provisions of contract law at drafting of contracts between commercial companies.
REAL ESTATE TRANSACTIONS
Our team is providing legal support in Real Estate Transactions. Our real estate practice encompasses initial planning, acquisition, financing, investment, development, construction, management and sales. The lawyers advise clients in all phases of the real estate projects, from providing counsel in due diligence process, contract negotiations during the acquisition phase and resolving technical issues, to assisting the clients with management during the operations phase and lease and sell of the property. We assist developers in the acquisition, development, funding and leasing of commercial, mixed-use and residential properties and developments. Furthermore, we advise our clients on long term lease agreements and other real estate matters.
EMPLOYMENT LAW
Our labour law team composed of seasoned and highly experienced attorneys offers:
- advice on drafting of the employment contract, internal acts, rules and collective agreements;
- advice on individual employment relationships (contract conclusion, contract performance, termination of employment contracts);
- representation in individual and collective employment disputes in front of the competent courts;
- advice on the appointment, dismissal and employment contract termination of the management;
- advice on the worker redundancy and mass lay-offs procedures;
LITIGATION
We are regularly involved in litigation in commercial disputes arising from various business transactions on behalf of domestic and foreign, corporate clients.
Our team of experienced litigators regularly represents clients in important disputes (with value in excess of EUR 12 million) and other high profile cases.
REGULATORY ISSUES AND PRODUCT LIABILITY
We advise on many regulatory issues and regularly represent clients before different regulatory authorities.
A group of highly qualified attorney assists clients with a great variety of data protection issues and represents clients in front of our Data Protection Authority.
We also assist our clients regarding product liability issues and product recalls on regular basis.
HEALTHCARE
Our healthcare practice has over the years of advising many of the major multinational pharmaceutical company developed extensive experience. We offer to our clients on daily basis practical and proactive advices among others on:

INSURANCE COVERAGE
All members of our legal team are insured from professional liability in accordance with possibilities that Serbian Bar Association provides. The legal obligation of each attorney at law in Republic of Serbia is to obtain insurance to the amount of 30.000,00 EUR. Since the members of our Law Firm are jointly responsible for each legal action, this further means that our Law Firm is insured for the amount up to 210.000,00 EUR. This amount may be increased upon relevant request of the Client.
